CONTEST DESCRIPTION
1. The “Baby Einstein Share – Inspire – Win” contest (the “Contest”) commences at 11:59 a.m. (ET) Monday, November 5th , 2007 and concludes at 11:59 p.m. (ET) Monday, November 3rd , 2008 (the “Contest Period”). The Contest is brought to you by Wee Welcome Inc. (Wee Welcome Inc. is referred to as the “Contest Sponsor”).

ELIGIBILITY
2. The Contest is open to legal residents of Canada who are eighteen (18) years of age or older as of the first day of the Contest Period. All entrants, including entrants who are not of the age of majority in their province/territory of residence must comply with the requirements in these Official Contest Rules and Regulations (the “Contest Rules”) to be eligible to win any prize in the Contest.

3. Notwithstanding the above, the Contest is not open to individuals associated with the Contest, including the employees, agents or representatives of the Contest Sponsor (including their respective divisions, subsidiaries, affiliates and advertising or promotional agencies) and suppliers providing prizes or other materials or services in connection with this Contest (collectively, the “Excluded Individuals”).

HOW TO ENTER
4. Log on to www.weewelcome.ca (the ''Website'') during the Contest Period to register by following the onscreen instructions. Registration must be completed before you can share an experience with friends. At the time of registration you will be required to acknowledge that you have read the Official Rules, the Website policies, and the Terms of Use of weewelcome.ca for the Contest, and that you agree to be bound all of them. No purchase necessary. To enter for a chance to win a Monthly Prize, at any time during the Contest, residents in Canada follow the instructions and complete the online entry form by submitting your Wee Welcome username and password. If you do not have a Wee Welcome username and password, sign up for one by filling out the online entry form with your first name, last name, email address, mailing address, daytime telephone number (including area code), mobile number (including area code), mobile carrier, and date of birth.

Once you have registered for the Contest, you will receive the “Monthly Baby Einstein Share – Inspire - Win” alert every month during the Contest Period. If at any time, you wish to unsubscribe email unsubscribeBEcontest@weewelcome.ca.
After you sign-up, the first of every month at approximately, 12:00 noon ET during the Contest Period, Wee Welcome will be sending all subscribers alerts of the “Monthly Baby Einstein Share – Inspire - Win” alert that you must complete  the contest form and share your experience with your friends prior to the end of the applicable Monthly Contest Period in order to be eligible to win that month’s Prize.  Monthly Prize entries will not be eligible if sent by any method not specified above or if not received during the Contest Period.

5. No purchase is required to enter. Users may submit an unlimited amount of entries during each Monthly Contest Period. The Monthly Contest Periods (all in Eastern time) are as follows:

Limit of one Monthly Prize per household. Multiple entries of any kind by the same person will be disqualified, unless multiple entries are expressly permitted in paragraph 4.

MONTHLY PRIZING
6. There is one (1) Monthly Prize winner each month from eligible entries submitted through WeeWelcome.ca.  Limit of one Monthly Prize per household. Each Monthly Prize has a maximum retail value of $100CAN, more particularly (but not limited to) described as follows:

i. DVDs
ii. Books
iii. Stuffed Toys
iv. CDs
v. Sippy Cups
vi. Plates, bowls, forks, spoons
vii. Gift Cards

7. Within five (5) business days of each Monthly Contest Period, one (1) entrant will be randomly selected from all eligible entries submitted by legal residents of Canada.

8. In order to be declared a winner by the Contest Judges, a potential winner must be in compliance with these contest rules and, in particular, the following:

8.1 A Wee Welcome employee must reach the potential winner by telephone within three (3) business days of the date on which the potential winner's entry was selected.

8.2 The potential winner must correctly answer, unaided and within a set timeframe, a mathematical skill-testing question administered by a Wee Welcome employee by telephone or email.

8.3 The potential winner must complete, sign and return a standard form declaration and release prepared by Wee Welcome within ten (10) business days from the date on which the form is sent to the potential winner (“Release Documentation”). The selected winner, by signing the Release Documentation, releases and indemnifies the Releases (as defined in the Release Documentation), under the terms and conditions of the Release Documentation, from any liability in connection with the prize or the Contest. If the Release Documentation, which will include a consent, waiver and release to be signed is not returned within the specified time period, the prize will be forfeited.

8.5 Each declared winner, consents to the Contest Sponsor's use of his/her name, photograph, voice, statement and image for any publicity or programming purposes, in all media, without remuneration, throughout the world in perpetuity.

8.6 In the event of any dispute regarding the identity of the party submitting an electronic entry, the entry will be deemed to have been submitted by the holder of the e-mail account.

9. If a potential winner is not in compliance with the Contest Rules, the contest judges shall disqualify such entrant from the Contest and randomly select further entrants from the remaining eligible entries until a winner is finally declared.

10. Entrants will not be individually contacted, except for selected entrants, who will be contacted by telephone. Winners will be listed on the Wee Welcome Winner page on WeeWelcome.ca.

GENERAL

13. The decisions of the contest judges are final, and entrants agree to abide by all of the instructions and decisions of contest judges. In the event of any dispute regarding the interpretation of these Contest Rules or any decision rendered by the contest judges, the decision or interpretation of the contest judges shall prevail.

14. All entries become the sole property of, and are subject to verification by Wee Welcome and all entries (including the video or image results of the Contest are the property of (Wee Welcome as appropriate). Any entry that is illegible, incomplete, altered, or contains false information, is invalid.

15. Any attempt to tamper with the entry process, interfere with these Contest Rules deliberately damage any website or undermine the administration, security or legitimate operation of the Contests, (collectively referred to as “Prohibited Acts”), is a violation of criminal and civil laws, and the persons responsible for such acts to the fullest extent permitted by law, which may include banning or disqualifying entrants from this and future Wee Welcome Contests. For further clarity, Prohibited Acts include, without limitation:

(i) Multiple users for one Wee Welcome account – a Wee Welcome username and password shall only be used by the “Authorized Account Holder” of the email address associated with the username and password and by no other person. Should Wee Welcome discover that more than one person is using a Wee Welcome username and password, it reserves the right to ban and/or disqualify both the account holder and user(s) of the account from entering this and future Wee Welcome contests. In the event of a dispute as to who submitted an entry, the entry will be declared made by the “Authorized Account Holder” is defined as the individual to whom an email address is assigned by the organization that is responsible for the domain.

(ii) One user with multiple Wee Welcome Accounts – each user is permitted to have only one authorized Wee Welcome account with one username and password. Users found to have more than one authorized Wee Welcome account will be automatically disqualified from the Contest.

(iii) Use of automated equipment – the use of any automated equipment to participate in this Contest is prohibited.(iv) Playing multiple instances of any game or interactive element – users are not permitted to play multiple instances of any game or interactive element at the same time in order to manipulate any point accumulation.

16. The Contest Sponsor assumes no responsibility for: entries lost, stolen, delayed, damaged or misdirected, or for the failure, interruption, technical malfunction or delay of any email or other communication to be received, for any reason; any incorrect or inaccurate information, whether caused by Contest website users or by an equipment or programming associated with or utilized in the Contest by any technical or human error which may occur in the processing of entries in the Contest; problems with the function of any website or website feature howsoever caused; the malfunction of, or damage caused to, any telephone network or feature howsoever caused; the malfunction of, or damage caused to, any telephone network or lines, computer equipment, data or software, online systems, servers or access providers; any functionality lost due to not having cookies enabled; traffic congestion on the Internet; the security or privacy or information transmitted via computer networks; or for breaches of privacy due to interference by third party computer “hackers”.

17. The Contest Sponsor reserves the right, in their sole discretion, to substitute any component of a prize for its cash value or a prize of approximately the same retail value. Prizes are non-transferable, must be accepted as awarded by Wee Welcome and cannot be exchanged by a declared winner for cash or other substitutes. The refusal by an entrant to accept any prize or any part of the prize releases and forever discharges the Contest Sponsor and its agents of all obligations related to the prize, including delivery.

18. Wee Welcome reserves the right, at its sole discretion and without prior notice, subject to the approval of the RACJ, to amend, cancel, close, suspend or reinstate this Contest at any time and for any reason whatsoever.

19. By entering the Contest, each entrant agrees to abide by these Contest Rules, which are subject to change without notice to Contest entrants individually, and each entrant releases the Contest Sponsor, its respective parents, affiliates, subsidiaries, directors, officers, employees, representatives, representatives, agents and advertising and promotional agencies, from any damage, loss or liability suffered as a result of or arising from the entrant’s participation in the Contest or use of any prize.

20. The Contest is void where prohibited by law and is subject to all applicable federal, provincial and municipal laws and regulations.

21. The Contest and these Contest Rules shall be exclusively governed by and construed in accordance with the laws of the province of Ontario. Any dispute shall be adjudicated in the courts sitting in Toronto, Ontario.

22. For residents of the province of Quebec, any litigation respecting the conduct or organization of this contest may be submitted to the Régie des alcools, des courses et des jeux for a ruling. Any litigation respecting the awarding of a prize may be submitted to the Régie only for the purpose of helping the parties reach a settlement.
